Association Profile
The Association has been dealing with foreign exchange operators and financial services being licensed by the Bank of Thailand to be a person authorized to undertake foreign exchange business and financial services. The Association was first time formed and founded on 11th September 2012 under the name of “ASSOCIATION OF FOREIGN CURENCY EXCHANGE”.
Later, on 13th November 2012, the Association was renamed as “THAI ASSOCIATION OF FOREIGN EXCHANGE”, abbreviated “TAFEX”, which has been registered under the Registration No. 0109555000343. On 23rd April 2021, the name of the Association was again changed to “THAI ASSOCIATION OF FOREIGN EXCHANGE AND MONEY SERVICES”, abbreviated as “TAFEXS”.
The objectives of the Association are to make the Association a center for juristic person or natural person licensed to undertake the business of foreign exchange and financial services in accordance with the Bank of Thailand regulations, and to promote and develop good standards in undertaking the business of foreign exchange and financial services for the interest of members and public, as well as to cooperate with relevant government agencies in issuing regulations related to the business of foreign exchange and financial services, including clarifying and suggesting to relevant government agencies to understand and help solving problems and obstacles related to the business of foreign exchange and financial services.

Chapter 1
General Provisions
Article 1. Name of the trade Association
This name of this trade Association is
“Foreign Exchange and Financial Services Association”
Being written in English as “THAI ASSOCIATION OF FOREIGN EXCHANGE AND MONEY SERVICES”
Being called in the Thai language as “Thai Association of Foreign Exchange and Money Services”
The word “Association” hereinafter shall mean
“Thai Association of Foreign Exchange and Financial Services”.
Its abbreviation is “TAFEXS”.
Article 2. Office of the Association is located at

Chapter 2
Objective
Article 4. The objectives of the Association are as follows:
4.1 Promote foreign exchange and financial services enterprises
4.2 Being a center for juristic or natural person licensed to undertake business of foreign exchange and financial services
4.3 Promote and develop the foreign exchange market and maintain the interests of the business operators in foreign exchange and financial services
4.4 Promote and support members of the Association to obtain licenses to undertake the business of foreign exchange and financial services in accordance with the regulations of the Bank of Thailand
4.5 Promote and develop good standards in undertaking the business of foreign exchange and financial services for the interest of members and public
4.6 Cooperate with relevant government agencies in issuing regulations related to the business of foreign exchange and financial services, including clarifying and suggesting to relevant government agencies to understand and help solving problems and obstacles related to the business of foreign exchange and financial services
4.7 Supervise members of the Association to comply with regulations and business code of conduct established by the Association
4.8 Collaborate among members in solving various problems related to the business of foreign exchange and financial services including mediation of any disputed arising among the members of the Association.
4.9 Make an agreement or set rules for members to comply with or refrain from any actions in order that the undertaking of business of foreign exchange and financial services runs smoothly
4.10 Serve the public interest and carry out any other activities that are necessary and appropriate to achieve the abovementioned objectives. However, all objectives are not related to politics
Chapter 3
Members and Memberships
Article 5. There are 3 types of members of the Association:
5.1 Ordinary member means a natural person or juristic person who are licensed to operate the business of foreign exchange and financial are not greater than 150 persons.
5.2 Extraordinary member means a natural person or juristic person who operate business related to foreign exchange or interested in getting information about foreign exchange business abroad.
5.3 Honorary member means a qualified natural person and/or juristic person having patronage for the Association and the Association committee resolved to give an honorary member and the person accepts the invitation.
Article 6. Juristic persons and persons who have the qualifications under Article 5 and wish to apply for membership of the Association shall submit an application together with evidence to the secretary of the Association according to the rules and procedures prescribed by the Association with at least two ordinary members to certify
Article 7. Considering the application for membership, the Secretary or the person acting on his behalf shall have the application form along with evidence presented to the following Committee Meeting. When the Committee has a resolution to accept or not accept anyone to become a member, a letter shall be issued for notifying the Association’s members.
Article 8. Membership commences from the date the applicant has completely paid the registration and maintenance fees.
Article 9. A juristic member has the right to appoint not more than 2 representatives who are natural persons authorized to perform on behalf of that juristic person, one as a representative and the other as a reserve representative, to perform their duties and exercise the right on behalf of that juristic person only to the extent that the members of the same type have. In the event that a representative and a reserve representative appear promptly at the Meeting, the representative shall exercise their rights on behalf of the juristic person. If the representative is absent, the reserve representative shall exercise the right on behalf of the juristic person. The same person may not be authorized as representative acting on behalf of more than three members.
In case of changing of representative or reserve representative of any juristic person, such juristic person shall notify the name of such representatives or reserve representatives in writing to the Association prior to the Meeting.
In case the member is a natural person, if unable to attend the Meeting in person, such member may appoint a representative to attend the Meeting by preparing a power of attorney to submit to the Association prior to the Meeting.
Article 10. Members terminate their membership in the following cases:
10.1 Death or cease from being juristic person, resignation, or revocation of a license to operate the business of foreign exchange currency from the date of revocation (In the case of ordinary members)
10.2 Being sentenced by a final judgment to be a bankrupt
10.3 Being sentenced by a final criminal sentence to imprisonment, except for a petty offence an offense committed carelessly
10.4 The Committee resolves to remove the name from the member registration by a vote of not less than three-fourths of the total number of Committee for one of the following reasons:
10.4.1 Intentionally committing any act that damages the Association’s reputation
10.4.2 Intentionally committing any act violating of the Regulations
10.4.3 Failure to pay the maintenance fee under Article 14, Chapter 5, and a warning notice from the Association’s staff has already been issued and served for thirty days.
Article 11. The Registrar of the Association shall prepare the membership registration as prescribed by law, with the following information:
11.1 Name and nationality of the members
11.2 Name used in the enterprises, and type of the enterprises
11.3 Location of the member’s office
11.4 Date of being member of the Association
Chapter 4
Rights and Duties of Members
Article 12. Members have the following rights:
12.1 Receive assistance and support in matters related to activities within the objectives of the Association.
12.2 Propose opinions or give recommendation to the Association or the Committee in any matter being within the objectives of the Association in order to bring about the prosperity of the Association.
12.3 Request to inspect the business and assets of the Association by submitting a letter to the Secretary, or a committee member acting on behalf of the Secretary
12.4 Attend the Meeting, discuss, express opinions, made any inquiry to Committee, and submit a motion at the General Meeting of the Association
12.5 Being entitle to decorate the logo of the Association
12.6 Only ordinary members have the right to vote at the General Meeting and have the right to be elected as committee member
Article 13. Members have the following duties:
13.1 Strictly comply with the regulations, rules and orders of the Association, as well as the Resolution of the General Meeting, and the Resolution of the Committee, and the code of conducts set by the Association.
13.2 Conduct business in accordance with the standards and business code of conducts for the common benefit of members and people.
13.3 Carry out business with honesty and fairness to customers
13.4 Cooperate with the Association in various activities of the Association
13.5 Pay maintenance fee to the Association as specified schedule
13.6 Any members who change their first name, family name, nationality; relocate the domicile, office address; change the representative of the juristic person, or cease from carrying out the business of foreign exchange must notify the Secretary of the Association in writing within seven days from the date of such amendment.
Chapter 5
Registration Fee and Maintenance Fee
Article 14. Registration and maintenance fees are as follows:
14.1 Ordinary member are required to pay membership registration fees and maintenance fees annually at Baht 10,000 (ten thousand Baht only), inclusive of VAT when the Association has registered as VAT operator. If their branch is a juristic person, the fees shall be charged half of the annual membership fee, inclusive of VAT when the Association is registered as a VAT operator.
14.2 Extraordinary members are required to pay membership registration fees and maintenance fees annually at Baht 10,000 (ten thousand Baht only), inclusive of VAT when the Association has registered as VAT operator. If their branch is a juristic person, the fees shall be charged half of the annual membership fee, inclusive of VAT when the Association is registered as a VAT operator.
14.3 Honorary Member dose not required to pay either registration fee or maintenance fee whatsoever.
14.4 As per the special maintenance fee, the Association may from time to time collect from its members at any amount of special maintenance fees, provided that the General Meeting passes a Resolution with a vote of not less than three-fourths of the number of ordinary members attending at the Meeting.
Chapter 6
Committee of the Association
Article 15. There shall be Committee to administer the work in accordance with the objectives of the Association and represent the Association in matters related to third persons.
15.1 The Committee shall consist of ordinary member being natural person, or a representative of a member being juristic person elected by the General Meeting. There shall be not less than nine persons and not more than fifteen persons.
15.2 The election of Committee shall be conducted by secret ballot where the ordinary members shall nominate to the General Meeting the name of ordinary members, or representative of the ordinary member whom he or she wishes to be elected as committee member.
Whereas at least two other ordinary members certify for the General Meeting to consider and pass a resolution.
In this regard, the ordinary members cannot nominate the extraordinary members as their representatives.
15.3 In the election, the person with the highest scores and the lower score in descending order can be a committee member according to the number determined by the Resolution of the Meeting.
If there are equal scores in the last position, a draw method shall be used.
15.4 The Board of Committee shall elect themselves to hold the following position in the office:
President of the Association 1 person
Vice President 1 person
Secretary 1 person
Treasurer 1 person
Registrar 1 person
Hostess 1 person
Other positions deemed appropriate with approval of the Committee
15.5 The Committee of the Association shall hold office for a term of two years. After that, new Committee shall be elected within 180 days from the date of the expiration of the term of the Committee. The term of the Committee shall be counted from the date of registration with the Ministry of Commerce, subject to Section 19, and 33 of the Trade Association Act B.E. 2509. However, the retired committee member may be reelected.
15.6 Any member may not be elected to be in the position of President of the Association for more than two consecutive terms.
Article 16. Retirement from Committee, a committee member shall vacate office in the following cases:
16.1 Death, due to retire by rotation
16.2 Resignation with approval from the Committee
16.3 Absence from membership
16.4 Being removed from being a committee member by resolution of the General Meeting
16.5 When the Minister of Commerce orders to vacate under Section 33 of the Trade Association Act B.E. 2509 (1966)
16.6 Being sentenced by a final criminal judgment to imprisonment under the Trade Association Act B.E. 2509 (1966) and/or according to the specified laws.
Article 17. In the event that a committee member vacates office before the expiration of the term
17.1 The Committee may appoint any ordinary member as a replacement and that committee member shall be in the office according to the agenda of the person that he/she replaces.
17.2 In the event that the whole Committee vacate office before the expiration of the term, such Committee shall conduct a General Meeting of Members to elect new Committee within 180 days.
Article 18. Quorum of the Committee Meeting
18.1 At the Committee Meeting, there must be at least half of the total number of committee members attending the Meeting.
18.2 In the event that the number of committee members attending the Meeting does not constitute a quorum, the Meeting shall be recalled within 15 days. For this purpose, if the committee members, once again, does not constitute a quorum for the Meeting, the committee members attending the Meeting can proceed further with the Meeting.
Article 19. Resolution of the Committee Meeting
19.1 A majority vote shall prevail whereas the Chairman of the Meeting is also entitled to vote. If the numbers of votes are equal, the Chairman of the Meeting shall be the arbiter.
19.2 In the event that the Committee Meeting has passed a Resolution violating any law or regulations, such Resolution shall be deemed unenforceable.
Article 20. Chairman of the Meeting
20.1 The President of the Association shall be the Chairman of the Meeting.
20.2 If the President of the Association is unable to perform this duty, the senior vice presidents, respectively, shall perform the duty instead.
20.3 If the President and Vice President are unable to perform their duties, any committee member is to be chosen to perform as the Chairman of that Meeting.
Article 21. Committee Meeting
21.1 There shall be a Committee Meeting at least once every three months.
21.2 In case of necessity, either the President of the Association, committee member acting on behalf, or a total of not less than 5 committee members may call an Extraordinary Meeting.
Article 22. Admission to duty of the Committee upon new committee members are elected
22.1 The retiring Committee shall submit the registration of the new Committee to the Bangkok Trade Association Registrar within 30 days from the election date and hand over the duties to the new Committee 30 days after the Trade Registrar accepts the registration.
22.2 In the event that the Trade Registrar has not yet registered the new Committee, and the old Committee has not yet delivered the duties thereto, the retiring Committee shall have powers and duties to manage the Association until the Trade Registrar registers the new Committee.
22.3 Upon taking the office, the new Committee’s acceptance of duties must be done in writing.
Article 23. Powers and duties of the Committee.
23.1 To manage the business and assets of the Association in accordance with the rules and resolutions of the Meeting
23.2 To elect committee members to hold various positions in the Committee
23.3 To establish rules and regulations for the operation of the Association to be in accordance with the objectives
23.4 To hire, contract, appoint, and remove advisors to the Committee, sub-committee
23.5 The advisor to the Committee and sub-committee may be appointed from members of committee, member of Association, or any third persons.
Article 24. Powers and duties of Committee in various positions are as follows:
24.1 The President of the Association is responsible for directing the operation of the Association in accordance with the regulations. The President is also an authorized person from the Committee to carry out the activities of the Association relating to third persons; and to preside as a Chairman at a Committee Meeting as well as at the General Meeting.
24.2 The Vice President has the duty to assist the President of the Association in all affairs, and to act on behalf of the President when the President of the Association is unable to perform duties.
24.3 The Secretary is responsible for correspondence of letters, keeping various documents of the Association, acting as secretary in Committee Meeting, and General Meeting well as performing other duties assigned by the Committee.
24.4 The Treasurer is responsible for paying and keeping the money of the Association, preparing financial accounting, storing and distributing supplies of the Association as well as performing other duties assigned by the Committee.
24.5 The Registrar is responsible for preparing of member registration and other non-financial registration as well as performing other duties assigned by the Committee.
24.6 The hostess is responsible for maintaining the office of the Association, keeping the orderliness of the place, keeping the guest book, organizing meeting place, taking care of guess reception as well as performing other duties assigned by the Committee.
Article 25. Subject to the provisions of this Chapter, the provisions of Chapter 7, General Meeting shall apply, mutatis mutandis.
Chapter 7
General Meeting
Article 26. General Meeting
26.1 The Committee holds a General Meeting at least every twelve months, known as an Ordinary General Meeting.
26.2 Other General Meeting apart from the Ordinary General Meeting shall be called an Extraordinary General Meeting.
Article 27. Schedule of General Meeting
27.1 There shall be an Annual Ordinary General Meeting within one hundred and twenty days from the last day of the Association’s fiscal (accounting) year.
27.2 If there is a cause which the Committee deems appropriate, or the number of Association’s members, not less than one-fourth, express their intention in writing by submitting it to the Secretary or a committee member acting on his behalf, the Committee shall convene an Extraordinary General Meeting within fifteen days from the date of the resolution or the date of receipt such written request.
Article 28. Sending the notice of invitation to meeting
28.1 The Committee shall send a notice indicating date, time, venue, and agenda of the General Meeting to all members at least seven days before the scheduled date of the General Meeting. Such notice shall accompany with a copy of the Minutes of the previous General Meeting (if any).
28.2 In the event of inviting for the annual Ordinary General Meeting, a copy of the annual report, and a copy of the balance sheet must be attached thereto along with a copy of the audited income-expense statement.
Article 29. Quorum of a General Meeting: At the General Meeting, to constitute the quorum, the numbers of the ordinary members attending shall not be less than half of the Association’s ordinary members.
Article 30. In the event that at the first Meeting the members do not constitute a quorum
30.1 If one hour has elapsed but the members attending the Meeting do not form a quorum, and if the said Meeting was called due to request from the members, then the General Meeting shall be adjourned. If not, the Meeting shall notify to the attendants, date, time and place of the General Meeting to be held again within fifteen days.
30.2 At the subsequent Meeting, any number of members attending the Meeting shall be regarded as a quorum.
Article 31. Method of voting at the General Meeting
31.1 Only ordinary members have the right to vote, one member one vote.
31.2 At the General Meeting, any resolutions proposed for voting shall be voted by raising hands or other methods which disclose how members cast their votes except prior to or at the time of hand raising for vote, the Committee deems appropriate or having at least two ordinary members requesting a secret ballot.
Article 32. Resolution of the General Meeting
32.1 Unless otherwise stated in the Regulations, the majority of votes shall be deemed as the resolution of the General Meeting.
32.2 If the votes are equal, the Chairman of the Meeting shall have one more vote, and it shall be a decisive vote.
Article 33. Activities to be performed at the General Meeting
33.1 To certify the Minutes of the previous General Meeting
33.2 To consider the annual report stating the performance of the Association’s activities throughout the year (if any)
33.3 To consider and approve the balance sheet, and income-expense statements (if any)
33.4 To elect the Committee (in the end of the year)
33.5 To elect Association’s annual advisors, auditor; and to set compensation therefor (if any)
33.6 Other businesses to be performed by the Resolution of the General Meeting
Article 34. Preparation of meeting minutes
34.1 All minutes of the Committee Meeting, General Meeting, and other member meetings along with any Sub-committee Meetings shall be recorded every time and then presented to the following Meeting for approval.
34.2 Members are entitled to view the approved meeting minutes on business days and hours.
Chapter 8
Finance, Special Funds and Accounting of the Association
Article 35. Fiscal Year End: The date of 31 December of each year shall be deemed as the fiscal year end of the Thai Association of Foreign Exchange.
Article 36. As per the preparation of balance sheets and income-expense statements, the Committee shall prepare a balance sheet, and income-expense statement as at the end of the fiscal year and pass them to the auditor no later than 30 days from the end of fiscal year and the auditor shall complete the audit work not less than 30 days prior to the date of the Annual General Meeting. The Committee shall submit the audited balance sheet, and income-expense statement to the General Meeting for consideration and approval within one hundred and twenty days from the end of the fiscal year. Upon presenting the balance sheet, and income-expense statements, the Committee shall also present to the Meeting the annual report stating performance of the Association. The Association shall file the copy of the annual report stating the performance of the Association together with the balance sheet, and income-expense statement to the Bangkok Trade Association Registrar within 30 days from the date of the General Meeting. The annual report showing performance of the Association, the balance sheet, and income-expense statement shall be kept at the office of the Association so that the members are able to examine them.
Article 37. Powers of the Auditor: The auditor has the power to examine all books, accounts, and documents related to the Association’s finances and also has the right to inquire the committee members, as well as officers of the Association who are involved in such accounts and documents. In this regard, the committee members, and officials shall assist and facilitate in all respects for such examinations.
Article 38. Retention of accounting books and financial documents: They must be kept at the office of the Association and to be under the care of the Treasurer.
Article 39. Finance of the Association: The cash of the Association must be deposited, under the name of the Association, at any commercial bank located in the local area of the province where this Association is located with the approval of the General Meeting. There shall be advance money on to be spent for the affairs of the Association not exceeding the limit of Baht 50,000 (fifty thousand baht only). In this regard, the Treasurer is responsible for keeping the money. As per the bank deposits and withdrawals, they shall be under the power of the President of the Association, Vice President, or Secretary by the resolution of the Committee meeting cosigning with the Treasurer.
Article 40. Payment of the Association: The President of the Association, Vice President, or Secretary shall have power to order payments related to the affairs of the Association for a maximum of Baht 500,000 (five hundred thousand baht only) per transaction. A payment of more than Baht 500,000 (five hundred thousand baht only) per transaction shall always be made by a resolution of the Committee.
Article 41. Special Funds: The Association may raise special funds to operate and promote the progress of the Association by inviting both third parties and members to make donations or perform any other actions as the Committee deems appropriate and not contrary to laws.
Chapter 9
Amendment of Regulations, Dissolution and Liquidation of Association
Article 42. Any amendment, reduction or addition of the Regulations can be done only by a Resolution of the General Meeting with total votes of not less than two-thirds of the total numbers of ordinary members attending the Meeting
Article 43. Dissolution of Association: This Association may be dissolved for any of the following causes:
43.1 Upon the resolution of the General Meeting for its dissolution with the votes of not less than three-fourths of the total numbers of ordinary members attending the Meeting.
43.2 Upon being bankrupted
43.3 Upon the order for dissolution of the Minister under Section 36 of the Trade Association Act B.E. 2509.
Article 44. Liquidation: Upon dissolution of the Association due to any causes stipulated in Article 43, the provisions of the Trade Association B.E. 2509 shall apply mutatis mutandis to the liquidation of the Association. In case of dissolution due to cause No. 43.1, the General Meeting shall vote for an election of a liquidator. In case of dissolution due cause No. 43.3, all committee members of the last Committee, who have been registered as Committee by the Bangkok Trade Association Registrar, shall be appointed as liquidator. After the liquidation, the remaining property, if any, shall be, in accordance with the Resolution of the General Meeting transferred to either one juristic person or juristic persons in Thailand having objective concerning with public charity.
Chapter 10
Transitional Provision
Article 45. When the Bangkok Trade Association Registrar has granted an establishment of the Association, all of the founders shall act as the Committee (temporary) until the Committee is elected under this provision. The election shall be made within a period of one hundred and twenty days from the date of permission to establish the Association. Subject to the provision of the first paragraph, in the event that the General Meeting for the election of the first Committee takes place less than three months from the end of the fiscal year of the Association, the end of the fiscal year date shall be deemed as the starting date for calculating the office term of the Committee.
Article 46. This provision shall be applied thereto from the date that the Bangkok Trade Association Registrar has granted the establishment of the Association onwards.
